    The Hexagon PPM Contracts Team is seeking an Associate Divisional Counsel for our headquarters office in Madison, AL.  The selected candidate will...

    • Review, negotiate, and administer commercial technology agreements related to the provision of software and services, including implementation, licensing and maintenance agreements.
    • Add value throughout the sales process and post-signature contract management, including review and negotiation of project proposals, contracts, and amendments, familiarizing delivery teams on exceptional provisions in negotiated contracts, and advising project managers with respect to contract terms.
    • Ensure compliance with corporate and divisional policies, and acceptable risk standards.
    • Liaise with and escalate issues in a timely manner to internal stakeholders as appropriate for determination/resolution.
    • Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with other business transactions.
    • Actively identify and drive improvements to contract risk management and contracting efficiency.
    • Train sales and delivery teams to enhance their working knowledge of contract risk management issues and mitigation paths over time.
    • Administration of existing customer contracts including change orders and add-on scopes of work.
    • Drafting contractual responses for formal proposals/bids.
    • Practical UCC knowledge and contracting experience.



    • Juris Doctorate Degree with 2 to 5 years of experience.
    • Experience in drafting and negotiating complex commercial software licenses, technology agreements, software implementation agreements (services) and software maintenance agreements is beneficial.
    • Experience in negotiating terms and conditions (i.e. - warranties, limitation of liability, indemnity and IP licensing) is beneficial.
    • Internal and external customer service skills.
    • Ability to work independently on complex tasks.
    • Ability and willingness to meet multiple time sensitive deadlines.
    • Strong business acumen and ability to make sound judgments.
    • Good presentation skills.
    • Self-motivated, determined and an effective written and verbal communicator.

    • Ability to deliver results with cross-functional teams and manage multiple initiatives simultaneously.

    • Capable of working effectively under pressure.

    • Focused, detail conscious and solution-oriented.

    • Enthusiastic and driven.

    • Proficiency in MS Office, particularly MS Word  and MS Excel.
